Sales Terms
These draft terms describe the intended Quote → Order → Proforma Invoice flow for sales by JRD Lab, INC.
1. Commercial documents
A customer order is bound to the exact issued quotation version selected during order placement. The issued quotation, accepted order data, Proforma Invoice, and any written revision together define the transaction. Working drafts and public reference prices do not replace an issued quotation.
2. Seven-day validity
- An issued quotation is valid for exactly seven calendar days from issuance.
- A Proforma Invoice is valid for exactly seven calendar days from issuance.
- Expired documents must be revalidated or reissued before the next transaction step.
3. Pricing and logistics
Quotations and Proforma Invoices are issued in USD. Quantities, unit prices, freight, taxes, duties, Incoterms, stock, ship-from location, dispatch timing, and other commercial details are included only when stated in the issued document. No unstated fee, exchange-rate method, or deadline is created by this draft.
4. TT payment and supplier verification
Payment is made by TT only to the current beneficiary instructions shown on the applicable issued Proforma Invoice or the official PartAxiom remittance page. Shipment is arranged after receipt of funds is confirmed. Supplier verification may require a correction and revised document; the applicable communication or issued document governs timing rather than an unstated deadline in this draft.
5. Customer responsibilities
The customer must verify Part Numbers, application, quantities, Bill To and Ship To data, import requirements, end use, and any required permits or certificates. Export, sanctions, carrier, or destination review may prevent or delay fulfillment.
6. Cancellation, returns, and policy status
